This End User License Agreement ("Agreement") is a legal agreement between you (either an individual or a legal entity, referred to as "You" or "User") and Easy Automation, Inc. ("Company", "We", "Us", or "Our") regarding your use of the Company’s software products, including cloud, mobile, and on-premise applications (collectively, the "Software").

 

By installing, copying, or using the Software, You agree to be bound by the terms of this Agreement. If You do not agree to these terms, do not install, copy, or use the Software.

 

1. LICENSE GRANT

Subject to the terms of this Agreement, Easy Automation, Inc. grants You a non-exclusive, non-transferable, limited license to use the Software solely for your internal business purposes. You may:

• Install and use the Software on the number of devices specified in the purchase agreement.

• Access cloud-based versions of the Software as per the terms of your subscription.

 

2. LICENSE RESTRICTIONS

You agree not to:

• Reverse engineer, decompile, or disassemble the Software, except as required by law.

• Distribute, sublicense, rent, lease, or transfer the Software to any third party.

• Modify, adapt, or create derivative works of the Software.

• Use the Software in any manner that could damage, disable, overburden, or impair the Software or interfere with any other party's use.

 

3. INTELLECTUAL PROPERTY

The Software is licensed, not sold. All intellectual property rights in and to the Software, including all associated documentation, are owned by Easy Automation, Inc. and are protected by applicable copyright and other intellectual property laws. Nothing in this Agreement constitutes a transfer of any intellectual property rights.

 

4. CLOUD AND MOBILE APPLICATIONS

For cloud and mobile applications, You are granted access based on a subscription model or other licensing arrangement. Your access to cloud services and mobile applications is subject to payment of all applicable fees. Easy Automation, Inc. reserves the right to modify, suspend, or discontinue cloud services with reasonable notice.

 

5. UPDATES AND SUPPORT

Easy Automation, Inc. may provide updates to the Software, which may include bug fixes, patches, or enhancements. These updates are provided at the Company's discretion and may require additional terms. Support services, if included, will be provided as per the separate support agreement.

 

6. DATA COLLECTION AND PRIVACY

The Software may collect and transmit data related to your usage for performance monitoring, diagnostics, or improvement of the Software. By using the Software, You consent to the collection and use of such data, as detailed in our Privacy Policy [insert hyperlink to Privacy Policy].

 

7. TERM AND TERMINATION

This Agreement is effective from the date You first install or use the Software and shall continue until terminated. Easy Automation, Inc. may terminate this Agreement at any time if You breach any of its terms. Upon termination, You must cease all use of the Software and delete all copies in your possession.

 

8. LIMITED WARRANTY

The Software is provided "as is" and "as available" without warranty of any kind. Easy Automation, Inc. disclaims all warranties, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Software will be error-free, secure, or uninterrupted.

 

9. LIMITATION OF LIABILITY

In no event shall Easy Automation, Inc. be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, arising from your use of the Software. Easy Automation, Inc.'s total liability in any matter related to the Software or this Agreement shall not exceed the amount You paid for the Software.

 

10. INDEMNIFICATION

You agree to indemnify and hold harmless Easy Automation, Inc., its officers, directors, employees, and agents from and against any and all claims, damages, losses, or expenses (including reasonable attorneys' fees) arising out of or in any way related to your use of the Software or your violation of this Agreement.

 

11. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of Minnesota, without regard to its conflict of laws provisions. Any legal action or proceeding arising under this Agreement will be brought exclusively in the courts located in Minnesota.

 

12. GENERAL

• Entire Agreement: This Agreement constitutes the entire understanding between You and Easy Automation, Inc. with respect to the Software.

• Amendments: Easy Automation, Inc. reserves the right to modify this Agreement at any time. Such modifications will be effective immediately upon posting on Our website or notifying You directly.

• Severability: If any provision of this Agreement is held invalid, the remainder of this Agreement shall continue in full force and effect.
